Welcome to Scifocus! Before engaging with the products and services provided on our platform, we kindly ask you to read these Terms of Service ( Terms ) thoroughly. These Terms, alongside our Privacy Policy and any additional applicable conditions, govern your use of our offerings, which include a range of tools, features, and functionalities accessible through the Scifocus website (collectively referred to as the Services ), operated by Scifocus AI.
In the context of these Terms, "you" and "your" refer to the individual utilizing our Services. As an individual user, you are granted permission solely for personal use. If you are accessing the Services on behalf of a business or organization, "you" encompasses both you and the entity. You affirm that
(a) you have the authority to represent and bind the entity to these Terms,
(b) you consent to these Terms on behalf of the entity, and
(c) your entity is legally and financially accountable for your use of the Services and the use of the account by any individuals associated with your entity.
By utilizing our Services, you signify your agreement to comply with these Terms of Service and any related policies. Your access to the Services, whether manual or automated, signifies your acceptance of these Terms. Simply accessing the Services to review these Terms does not imply agreement unless you proceed to use the Services.
We reserve the right to modify these Terms of Service or introduce new conditions at any time. Changes will be indicated by the "Last Updated" date, while the "Effective" date marks when the Terms take effect. In case of significant alterations, we will prominently notify you on our website or through other means, allowing you to decide whether to accept the changes by continuing to use our Services or by closing your account. Your continued use of the Services after any such updates or notifications signifies your acceptance of the revised Terms. If you do not understand or agree with these Terms, please refrain from using the Services. Additionally, we reserve the right to restrict access to any individual who breaches these Terms or disrupts others' use or enjoyment of our Services.
1.Account Registration and Access

It is your responsibility to keep your account and password confidential. You must not share or disclose your account credentials to any third party. You are accountable for all activities conducted through your account, whether by you or others. You agree to promptly notify us of any unauthorized access or other security breaches involving your account, and to log out at the end of each session. We do not accept liability for any losses or damages arising from your failure to protect your password or account information. If you create an account or use the Services on behalf of another person or entity, you must have the authority to accept these Terms on their behalf.
2.Conditions of Use
By utilizing our Services, you agree to adhere to the following conditions. You may have the opportunity to provide text, images, files, or other materials ("Input") for processing through our Services, and subsequently receive responses based on this Input ("Output"). Together, Input and Output are considered "Content". You are accountable for any Content that you upload, submit, transfer, post, publish, display, email, or otherwise transmit through the Services, and you must ensure that it does not infringe upon these Terms or any applicable laws. Below are examples of content and/or uses that we consider prohibited or illegal.
In utilizing our Services, you agree to refrain from the following actions:
- Submitting personal data without the explicit consent of the data subject or transmitting personal data of individuals under 18 years of age.
- Soliciting personal information from individuals.
- Interfering with or disrupting our Services, servers, or networks connected to our Services, or failing to comply with any relevant procedures, policies, or regulations of networks linked to our Services.
- Violating any applicable local, state, national, or international laws or regulations.
- Impersonating any person or entity or falsely stating or misrepresenting your affiliation with a person or entity.
- Exploiting, harming, or attempting to exploit or harm minors in any way.
- Conducting scraping, data mining, data extraction, or data harvesting from our Services through electronic or other means, except as expressly permitted by these Terms.
- Using our Services unfairly by registering numerous accounts, using false identities for registration, or engaging in activities beyond normal usage; or taking actions that impose or may impose an unreasonable or disproportionately large load on our infrastructure, such as automated usage that exceeds rate limits, falsifying clicks, creating fake requests, or using other technical methods.
- Conducting fully automated decision-making that adversely affects an individual's legal rights or otherwise creates or modifies a binding, enforceable obligation.
- Advertising or offering to sell or buy goods or services for unauthorized business purposes.
- Promoting or furthering any criminal activity or enterprise or providing instructional information about illegal activities.
- Attempting to access any materials or information through means not intentionally made available or provided through the Services.
- Modifying, copying, leasing, lending, selling, or sublicensing any part of the Services.
- Circumventing any technological measures designed to protect the Services or any related technology.
- Attempting to or assisting anyone in reverse engineering, disassembling, decompiling, decoding, adapting, or otherwise attempting to derive or gain access to any source code of the Services (including models, algorithms, or systems), in whole or in part, unless expressly permitted by an open-source license.
- Exploiting vulnerabilities of a specific group of persons based on age, social, physical, or mental characteristics, to materially distort their behavior in a manner that causes, or is likely to cause, physical or psychological harm.
- Taking actions intended to discriminate against individuals or groups based on legally protected characteristics or categories.
- Using our Services and AI-generated content in regulated industries, such as providing medical, legal, financial, trading, and investment advice, or engaging in high-risk government decisions, where misuse could lead to misinterpretation or misapplication of information.
- Generating or disseminating information intended for use in justice administration, law enforcement, immigration, or asylum processes, such as predicting fraudulent or criminal behavior through profiling or indiscriminate targeting.
- Developing products or services that compete with our Services, including developing or training any algorithms or models.
- Creating mirror images of the Services, or reproducing or duplicating the Services through any technological methods.
- Misrepresenting that the output was human-generated when it was not.
- Engaging in any form of political manipulation.
- Generating or transmitting content that:
- violates any intellectual property rights, including but not limited to copyrights, trademarks, patents, trade secrets, or other proprietary rights of any party.
- is used without proper authorization or entitlement under applicable laws, agreements, or contractual obligations.
- is fabricated, misleading, or intentionally crafted to cause harm or distress to individuals or groups.
- compromises the privacy or security of individuals, or includes personal information that could lead to harm or misuse.
- contains malicious software, viruses, or any form of code designed to disrupt, damage, or impair the functionality of any computer or network systems.
- constitutes unsolicited, unauthorized, or unwanted advertising, promotional material, or commercial solicitation, including but not limited to "junk mail," "spam," "chain letters," or "pyramid schemes."
- is deemed illegal, harmful, threatening, abusive, harassing, tortious, defamatory, obscene, vulgar, or otherwise objectionable, including content that is discriminatory or offensive based on race, ethnicity, gender, religion, or any other protected characteristic.
- is considered objectionable at Scifocus's sole discretion, or that interferes with or restricts another user's ability to enjoy our services, or exposes Scifocus or its users to potential harm or legal liability.
- attempt jailbreaking, adversarial prompting, or prompt injection; automatically or programmatically extract data or outputs from our service;
- reverse engineer, disassemble, decompile, decode, adapt, or otherwise attempt to derive or access the source code or underlying algorithms, or models of our Services, in whole or in part; Use any "deep-link", "page-scrape", "robot", "spider", or other automatic device, program, algorithm, or methodology, or any manual process to access, acquire, copy, or monitor any portion of the Services, or obtain or attempt to obtain or extract data or outputs, any materials, documents, or information not purposely made available through the Services.
Reproduction of any content generated by the Scifocus services requires clear citation of the service and the context in which the content was created. It is strictly forbidden to misrepresent the origin of the content or the manner of its creation. This includes, but is not limited to, any actions such as deleting, altering, or hiding the identification of AI-generated content.
Scifocus reserves the right to investigate and take necessary measures against individuals who, in our sole discretion, breach this provision. Such measures may include, without limitation, removing the infringing content from the services, suspending or terminating the violator's account .
Furthermore, you agree to indemnify and hold harmless Scifocus, its affiliates, and their respective directors, officers, managers, employees, shareholders, agents, representatives, and licensors from any liability, damages, or costs arising from or related to any content transmitted through the services by the user or others using the user's account.
3.Payment and Transactions
Certain aspects of our Services are available through paid features ("Subscriptions"). You are obligated to cover any fees and taxes associated with these Subscriptions.
Billing
You have the option to subscribe to our products on a monthly or yearly basis, with Stripe automatically deducting the subscription fees from your Stripe account. You can manage and cancel the automatic renewal feature through your "Account Settings" settings.
Upon purchasing a Subscription, billing will occur via a third-party payment processor, such as Stripe Payments, for each scheduled renewal period unless you choose to cancel. In the event that a payment fails, we reserve the right to suspend or terminate your subscription until the outstanding payment is settled.
Cancellation
You can cancel your Subscription at any time. Payments made for the current Subscription period are non-refundable unless required by law. After the current period ends, no further charges will be applied. Additionally, we reserve the right to terminate your access to our Services according to these Terms of Service (please see the "Termination" section for more details).
Changes
We may modify our fees from time to time. If there is an increase in subscription fees, you will receive at least 30 calendar days' notice. The new pricing will take effect at the next renewal, giving you the opportunity to cancel your subscription if you do not agree with the fee increase.
Refund Policy
You may request a refund for unused portions of your subscription according to our refund policy. The refund policy does not differentiate across countries and will be updated on our official website.
4.Content
Input and Output
In the context of the Content, you retain all rights to your Input (to the extent that such rights exist under applicable laws) , and you hereby grant Scifocus a nonexclusive, global, royalty-free, fully paid-up, transferable, sublicensable, perpetual, and irrevocable license to permits Scifocus to copy, display, upload, perform, distribute, store, modify, and use your Input. You affirm and warrant that you own all rights, titles, and interests in and to such Input, including all copyrights and rights of publicity, or you are otherwise authorized to use them for the stated purposes.
You also possess ownership of the Output. Scifocus assigns to you any rights, titles, and interests it may hold in Output. You agree to extend to Scifocus a nonexclusive, global, royalty-free, fully paid-up, transferable, sublicensable, perpetual, and irrevocable license to utilize the Output in any form, medium, or technology currently known or that may be developed, for any Scifocus-related purpose.
Our Use of Content Scifocus may employ Content to facilitate, maintain, develop, and enhance our Services, comply with applicable laws, enforce our terms and policies, and secure our Services.
Accuracy and Reliance With the rapid advancements in artificial intelligence and machine learning, our aim is to continually enhance the accuracy, reliability, safety, and overall effectiveness of our Services. Given the intrinsic limitations associated with the models, algorithms, and technologies utilized by the Services, you acknowledge and agree that:
- The Services may not interpret your input with human-like precision , and undetectable risks and ethical issues may be present in Output .
- Output may not always be fully accurate or genuine. Relying solely on our Services' Output as a primary source of information or as a substitute for professional consultation is not advisable.
- It is your responsibility to independently assess the Output for accuracy and suitability, including conducting human review where necessary, prior to utilizing or disseminating Output from the Services .
- Even with algorithmic filtering and manual review, Output may still be incomplete, incorrect, offensive, or contrary to our perspectives. Reference to third-party content within the Output does not imply endorsement or association with Scifocus .
Responsibility
We do not accept responsibility for any Input submitted by you or others to our Services. You recognize that we are under no obligation to monitor submitted Input. However, we reserve the right, at our sole discretion, to review, edit, move, delete, or reject any input that we determine violates these Terms of Service or is otherwise unacceptable or inappropriate, for legal or other reasons.
You agree that any Input you submit to Scifocus is considered non-confidential, and we have the right to use and distribute these Inputs freely for any purpose, without acknowledgment or compensation to you. Further, you consent that we may retain and disclose Input if required by law or if we believe in good faith that such retention or disclosure is reasonably necessary to:
(a) comply with legal proceedings, applicable laws, or government requests;
(b) enforce these Terms;
(c) address claims that any Input violates third-party rights; or
(d) protect the rights, property, or personal safety of Scifocus, its users, or the public.
5.Intellectual Property Rights
All rights, titles, and interests related to the Services are fully owned and retained by us. Provided you comply with these Terms, we grant to you a non-exclusive, limited, non-transferable, non-sublicensable, and revocable license to access and utilize the Services strictly for personal and non-commercial purposes. You agree and understand that we reserve the right to terminate this license at any time, should you breach these Terms or for other reasons, with written notice, unless otherwise restricted by applicable law.
The Scifocus name and logos are trademarks of Scifocus (collectively referred to as the "Scifocus Trademarks"). Other trademarks displayed through the Services may belong to third parties, who may or may not be affiliated with Scifocus. These Terms do not grant, either implicitly or explicitly, any license or right to use any of the Scifocus Trademarks without our prior written consent.
6.Right Complaints
To report potential copyright infringement where you believe your copyrighted work has been unlawfully reproduced, displayed, or distributed through our Services or other rights infringement where you believe your legitimate rights has been unauthorized used through our Services, please notify us by sending a comprehensive and detailed written notice to [email protected].
Please be aware that the contact information provided in your notice here is exclusively for reporting alleged copyright infringements. For other inquiries, refer to the "Contact Us" section.
We will evaluate and investigate infringement claims and undertake appropriate measures pursuant to relevant intellectual property laws concerning any alleged or confirmed infringement.
In certain cases, and at our sole discretion, access to the Services may be restricted or your user account may be terminated if your Content infringes on the intellectual property rights of others, irrespective of whether such infringement is recurrent.
7.Third Party Services
We disclaim any liability for services provided or maintained by third parties, including, but not limited to, third-party large language models, plugins, and APIs. You acknowledge that such third-party services are rendered by their respective providers, and your utilization of these services is at your own risk. Such use is subject to additional terms and conditions, including but not limited to user terms, privacy policies, content policies, and acceptable use policies as stipulated by these third parties.
Access to or links to third-party sites, applications, or resources from our Services do not constitute an endorsement or sponsorship of those sites, nor the information, products, or services offered therein. Furthermore, neither we, nor our parent or subsidiary companies, nor any of our affiliates, exert any control or operation over the information, products, or services that third parties may provide through the Services or on websites linked by us.
Additionally, we bear no responsibility or liability, direct or indirect, for any claims, fines, damages, or losses resulting from or purportedly resulting from the use of or reliance on content, events, goods, or services provided by any third party. Any interactions you have with third parties while utilizing the Services are strictly between you and the third party, and you agree that neither we, nor our parent or subsidiary companies, nor any of our affiliates shall be liable for any losses or claims you may have against said third parties. To the fullest extent permitted by law, any dispute you have with a third party relating to your use of the Services shall be resolved solely between you and the third party, and you hereby release us from any and all claims, demands, fines, indemnifications, and damages, whether actual or consequential, known or unknown, arising out of or in connection with such disputes.
8.Limitation of Liability
In no event, including but not limited to negligence, shall we, our subsidiaries, parent companies, affiliates, and/or their directors, employees, or agents be held accountable for any direct, indirect, incidental, special, consequential, or exemplary damages.
The aggregate liability that may be incurred under these Terms shall not exceed the greater of the amount you have paid for the relevant service in the twelve months preceding the event giving rise to the liability. These limitations apply to the extent permissible under applicable law.
Certain jurisdictions do not allow the exclusion or limitation of certain types of damages. In these jurisdictions, the liability of us, our subsidiaries, parent companies, and affiliates shall be limited to the fullest extent permitted by local law. You expressly acknowledge and agree that we are not responsible for any defamatory, offensive, or illegal conduct of any user. Should you find the Services, any Content provided therein, or any associated terms and conditions unsatisfactory, your sole and exclusive remedy is to discontinue use of the Services.
9.Indemnity
You agree to indemnify and protect Scifocus, along with its affiliates and their respective directors, officers, managers, employees, shareholders, agents, representatives, and licensors, against any and all losses, expenses, damages, and costs, including reasonable attorneys’ fees, that arise due to your use of the Services. This includes any breach of these Terms of Service by you or anyone using your account, violations of applicable laws or regulations, infringement of another’s rights, fraudulent or illegal acts, or intentional misconduct or gross negligence, to the extent allowed by law. Scifocus retains the right to assume the exclusive defense of any claim subject to indemnification as per this section. You agree to fully cooperate with us upon request in such a scenario.
The Services and any associated third-party content are provided "as is" and "as available," without any kind of warranties, express or implied. To the fullest extent permissible by applicable law, Scifocus disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, satisfactory quality, non-infringement, and any arising from usage or trade practice. Scifocus does not guarantee the Services or their features will be uninterrupted, error-free, or that defects will be corrected, nor that the Services or their servers are free of viruses or harmful components.
Scifocus makes no representations or warranties about the accuracy, reliability, or results from using the Services or the content available through the Services or third-party sites.
It is your responsibility to ensure you have the necessary equipment and/or software to access the Services, including covering the cost of maintenance.
The Services are intended for informational purposes only and are not suitable for medical, legal, trading, investment, or other professional use . They should not be utilized in high-risk activities where errors could lead to damage or injury to persons, property, environment, finances, or business. You expressly agree that any use of Outputs from our Services is at your own risk, and Outputs should not be relied upon as the sole source of truth or factual information, nor as a substitute for professional advice.
10.Right to Modify or Discontinue Services
At any given time, with or without prior notice, we reserve the right to amend or terminate the Services, in whole or part. Furthermore, you recognize that we may modify these Terms at any time, at our discretion. You accept and acknowledge that we shall not be held liable to you or any third party for any suspension, cessation, or alterations of the Services.
11.Termination
You are free to discontinue your use of the Services at any point. Scifocus reserves the right, at its sole discretion, to suspend or terminate your account or your access to the Services, as well as to delete any Content you have within the Services. This action can be taken for various reasons, including but not limited to inactivity or if Scifocus believes in good faith that you have violated these Terms or acted against their intent, or if compliance with legal obligations requires it. You acknowledge that such termination of access might occur without prior notice. The termination of your account or access to certain Services does not affect Scifocus's rights regarding your Content. Furthermore, Scifocus will not be liable for any consequences or damages to you or any third parties resulting from such termination.
In the event that your access to the Services is terminated due to a breach of these Terms and you hold a Subscription, no refund will be issued. Additionally, Scifocus retains the right to terminate your subscription at any time for any other reason. Exercising this right will result in a pro rata refund for the portion of the subscription fee corresponding to the remaining period after termination.
12.Miscellaneous
Minimum Age
To use the Services, you must meet the minimum age requirement of at least 18 years or the age of consent in your jurisdiction. If you are below 18, parental or legal guardian consent is mandatory for accessing the Services.
Assignment
This agreement is exclusively personal and cannot be assigned to third parties. These Terms of Service are intended solely for the benefit of you and us, without establishing any third-party rights. Consequently, only you or we may invoke or enforce these terms. Any attempt by you to assign or transfer rights or obligations under these Terms will be considered null and void. However, we retain the right to assign our rights or obligations to any affiliate, subsidiary, or business successor associated with our Services.
Force Majeure
Neither party shall be held liable for any failure, hindrance, defect, delay, or alteration in performance caused by circumstances beyond reasonable control, such as:
(i) natural disasters, acts of God, governmental actions, judicial or administrative orders, terrorism, civil disturbances, or war;
(ii) maintenance or malfunction of hardware or software related to the Services;
(iii) public service failures or failures attributed to third parties, including power outages or communication network failures.
Governing Law and Jurisdiction
Any dispute arising out of or in connection with this contract, including any question regarding its existence, validity or termination, shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre ("SIAC") in accordance with the Arbitration Rules of the Singapore International Arbitration Centre ( "SIAC Rules" ) for the time being in force, which rules are deemed to be incorporated by reference in this clause. The seat of the arbitration shall be Singapore. The Tribunal shall consist of three arbitrators. The language of arbitration shall be English.
Severability
If any provision within these Terms is deemed invalid by a competent jurisdiction, the remaining provisions shall continue in full force, and efforts will be made to uphold the parties' intentions as closely as possible.
Delay in Enforcing These Terms
Failure by Scifocus to exercise or enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
